Burness. Nous désirons tous les deux mettre sur le papier nos conventions pour qu'elles soient établies d'une façon bien positive et sous ce pli je vous remets une copie du projet d'arrangement que veuillez examiner. Comme vous verrez, je m'engage à accorder à Burness 6 d de plus sur les ordres qu'ils pourront obtenir en Écosse, à Glasgow, surtout où Bazin sont très fortement représentés, mais Burness vont y nommer un agent qui devra s'en occuper sérieusement, et comme ils auront à le payer assez largement ils m'ont demandé de leur donner 6 d de plus sur les affaires qu'ils pourront y enlever à nos concurrents.

Memorandum of agreement between Hypolite Worms Esquire of Paris
and MM. James Burness & Sons of London
relative to the supply of coal to steamers at Port-Saïd and Suez :

1°) That James Burness & Sons are to be the exclusive agents in the United Kingdom for
Mr Hypolite Worms of Paris in respect to the sale of coals to steamers at Port-Saïd and Suez and in the negotiation of contracts for that purpose and Mr Hypolite Worms is to be the sole representatives of James Burness & Sons at Port-Saïd and Suez for the sale and supply there to the steamers of their constitutent.

2°) That the remuneration to James Burness & Sons for such services shall be as follows :
I - On all supplies to British steamers coaled at Port-Saïd and Suez a commission of nine pence per ton, except in cases where the orders for such supplies are procured through captain Stapledon of Port-Saïd, when their commission is to be reduced to six pence per ton.
II - On all supplies to foreign steamers influenced by James Burness & Sons, a commission of nine pence per ton.

3°) That James Burness & Sons are to have discretionary power to allow agents (not in London or Liverpool) a commission not exceeding six pence per ton on all supplies obtained through their influence from Scotch Ship-owner.

4°) That Mr Worms Port-Saïd House shall use their best exertions to influence in favor of the various agents of James Burness & Sons business in the supply of coal upon the understanding that the agents of James Burness & Sons shall endeavour in like manner to influence business in favor of Mr Worms at Port-Saïd and Suez.

5°) That Mr Worms shall pay annually to James Burness & Sons the sum of fifty two pounds to cover their travelling expenses, printing, postages and telegrams, but excepting those to Port-Saïd & Suez.

6°) That this agreement be in force for three years, from 1st January 1872.
